General Information.  Top

This Fictitious Name Registration is designed to allow you to register fictitiously named businesses via the internet. This process has been implemented in response to Legislative Action taken in the 2004 Legislative Session. The result of that change in the codified law is that the Secretary of State's office must allow direct access by the public to all Fictitiously Named Businesses conducting business within the State of South Dakota. This change in the law was scheduled for implementation on July 1, 2004.

The law also allows for the registration of fictitious names to take place at the County Register of Deeds as well as via the internet. You have the option of filing either way. As of July 1, 2004, all fictitious names registered will be done so on this centralized system. If you register at the County Register of Deeds, county personnel will record the information you provided to them, into this system.

On most screens, there are links to various portions of the system that you can access by clicking on the link. These links are located near the top of each screen just to right of the seal of the Secretary of State. They are also located on most screens on the left side of the page. When you click on a link a new web page will be opened and you will be able to do the process assigned to that link.

Register a Business: This is the link to click to actually register a Business Name. This process involves answering some questions to determine if your doing a new registration, an amendment, or a renewal. Just follow the flow of the screens and you should be able to complete the registration process. There are help screens on each page to answer any questions you may have.

Search: This is the link to search for a business or owner. This process will ask if you are searching for a business or owner and then have you enter some information regarding the business or owner such as the name or city of the business or owner.
After searching, a list of businesses or owners meeting the selection criteria you entered will appear. You can then select the business or owner you want to look at in more detail by clicking on the View Detail button to the right of the name.

FAQS: Clicking this link will display a list of frequently asked questions that we anticipate you may have regarding the registration process.

Email Us: Clicking on this link will open up an email screen that you can fill out and send to us. You must enter a valid email address so that we can respond to your questions via email, a subject which allows us to get your question to the right person and finally the message. The message is limited to 2,000 characters.

Definitions.  Top

Fictitious Name: You are required to file a fictitious name statement if you operate a business as a proprietorship and do not include the last name of each owner in the business name. Corporations, partnerships, associations, cooperatives, and limited liability companies that are conducting business in South Dakota under any name other than their corporate name are also required to file any fictitious name under which they may conduct business (See SDCL 37-11 and 2-14-2).

Amendment: This is a registration that amends or changes information regarding a business. It could be a name change, a change in ownership, the addition of another owner, etc.

Original Registration: This is the first registration of a business into this system. It contains the original business and owner information regarding the business.

Renewal: This is a registration that simply renews the business registration. All registrations expire after 5 years and each business must renew their registration within that time period.

Business Information.  Top

The business information requested is used to identify the business. Required information consists of the name of the business and the physical address of the business. The state will always be South Dakota or a bordering state. The zip code must be a 5 or 9 digit zip code.

Owner Information.  Top

All businesses must have at least one owner. The owner information required is the owner name, post office address, and residence address of each person interested in the business, state and zip code if the United States, province and postal code if Canada, or the country name if not the United States or Canada. The phone number is optional.

There is a check box on the Owner Screen to indicate if there is a different mailing address for the owner. Simply check this box before clicking on 'Add this Owner' and you will then be given the opportunity to enter a mailing address for that owner.

If you are entering a mailing address for an owner, the information required is mailing address of the owner including the country, state and zip code if the United States, province and postal code if Canada, or the country name if not the United States or Canada.

Complete the Business Name Registration.  Top

This screen is where you verify you are who you say you are. By checking the check box and entering your name, your authenticating to us that the business and owner information that has been entered is accurate and complete and that you are authorized to complete the registration(s).

This verification and authorization is a requirement of the South Dakota Codified Law pertaining to Fictitious Name Registrations.

Credit Card Process.  Top

This screen is the method by which you pay for the business registration(s). The fee for filing is Ten Dollars ($10.00) per business. This charge must be paid for by way of a credit card.

The credit card information we collect is only used for the actual processing of the charges. We do not store the credit number in its entirety. We only store the last 4 digits. We do not sell or give any credit card information to anyone. We only store the information regarding the transaction for the purpose of verifying that the charge took place.

Registration Information.  Top

This screen is a listing of all businesses that were registered and paid for by the credit card you used to do the registration. By clicking on the View/Print link in the grid box, you can view and/or print the actual receipt for that business. It is highly recommended that you print the receipt by either clicking on the "Print Receipt" button or doing a screen print to your printer.

The information on the receipt will be useful to you and the Secretary of State's office in case questions arise regarding your registration or credit card transaction.
